Terms of Service
The agreement for using Spherikal. Last updated October 13, 2026.
1. Who we are, and this agreement
Spherikal is provided by Reason Talent Solutions, LLC (“we”, “us”). These Terms are the agreement between us and you when you create an account, buy a plan, or use Spherikal, including through Microsoft Teams or Slack. By doing any of those, you agree to them. If you don’t agree, don’t use the service.
If your organization gives you access under its own agreement with us, that agreement governs your organization’s use; these Terms govern yours. Our Privacy Notice explains how we handle your information and is part of these Terms.
2. Your account
- You must be at least 18 and able to enter a contract.
- One account is for one person. Give accurate information and keep your password to yourself.
- You’re responsible for what happens under your account. Tell us promptly if you think it has been misused.
3. Plans, trials and billing
- Plans are priced per person on the plan (including you) and billed either every three months (quarterly) or once a year (yearly), whichever you choose; yearly costs less. A quarterly plan charges three months at a time and a yearly plan twelve. Prices are shown before you buy and exclude applicable taxes. Payments are processed by Stripe; we never see or store your full card number.
- New plans start with a free 14-day trial, or a longer one if a partner gave you a code. We take a card up front, and the first charge happens when the trial ends unless you cancel before then.
- Adding or removing seats takes effect right away; Stripe adjusts the difference on your next invoice. Moving to a higher plan also takes effect right away, and the difference for the rest of the period is added to your next invoice. Moving to a lower plan takes effect at the end of the period you’ve paid for, and nothing is credited back for that period.
- Basic and Team plans include one of your own 360 feedback rounds a year. An extra round is a one-time charge of $30, used by the next round you start; it doesn’t expire, and it isn’t refunded once that round has started.
- You can cancel any time from Team & billing. Cancelling stops future charges, and you keep access until the end of the period you’ve paid for. We don’t refund partial periods, except where the law requires it.
- If a payment fails, we’ll keep trying for a while and your team keeps access in the meantime. If it isn’t resolved, access pauses until the plan is restarted. We don’t delete anyone’s work because a plan ended.
- We may change prices for future periods; we’ll tell you at least 30 days before a change affects you.
4. Team plans
The person who pays for a team plan manages it: they choose the plan, invite people, and add or remove seats. They can see who holds a seat and whether that person has joined. Each person’s coaching, assessments, plan and conversations are their own. Paying for someone’s seat doesn’t let you see any of it. They can choose to share parts of it with you, for example by inviting you to follow their plan.
If you say someone on your team reports to you, they’re asked to confirm it, and you become their manager in Spherikal only if they do. No one can receive more than three invitations to join in any two weeks; if someone has reached that, we’ll tell you when you can invite them.
Teams at the same company share one space. When you sign up or buy with a work email, you join the space for your email’s domain, and colleagues there can find you and work with you across teams. Each team’s plan, seats and results belong to that team. Without a paid seat, you use the free plan there. If your company has Spherikal through its own account, a work email at its domain is set up by your company, not here.
If you send a Team 360 to people outside your company, you’re responsible for having their permission to contact them. Use it for feedback on how a team works — not to market to anyone.
If you’re invited to a team plan, you use Spherikal under these Terms like any other user.
5. What Sphere is, and what it isn’t
- Spherikal’s coach, Sphere, is an AI. It is built for professional development. Its suggestions can be wrong or incomplete, so use your own judgement.
- It is not medical, mental-health, legal, financial or other professional advice, and it is not a crisis service. If you or someone else is in danger, contact your local emergency services.
- Not for employment decisions. You must not use Spherikal, including any read, working-together brief or other output about a person, to make or support decisions about hiring, firing, promotion, pay, discipline or anyone’s other terms of employment.
6. Connecting with other people
You can connect with people in other organizations through Your network. A connection needs both people to say yes, and either can end it at any time. Once connected, either person can ask Sphere how to work well with the other. That brief describes working style. It never includes scores, coaching conversations, or anything about either person’s organization. Use it to collaborate, not to judge or rank anyone, and don’t use connections to contact people who haven’t asked to hear from you.
7. Microsoft Teams and Slack
If you use Sphere in Microsoft Teams or Slack, your employer’s rules for those tools also apply to you. Only connect a workplace account you’re allowed to connect. Messages you send Sphere there become part of your coaching history, just as they would in the app.
8. Acceptable use
Don’t:
- break the law, or use Spherikal to harass, deceive or discriminate against anyone;
- upload other people’s confidential or personal information that you don’t have the right to share;
- try to access another person’s data, or get around a limit, a paywall or a privacy setting;
- scrape, reverse-engineer or overload the service, or resell it without our written agreement.
We may suspend or close an account that breaks these rules. Where we reasonably can, we’ll tell you first.
9. Your content
What you share with Spherikal, such as assessment answers, uploads, plans and conversations, stays yours. You let us store and process it only to provide the service to you and to the people you choose to share with, as the Privacy Notice describes. We don’t sell it, and it isn’t used to train AI models.
10. Our service
Spherikal, including its software, content, assessments, competency models and design, belongs to us or our licensors. You may use it for as long as your account is in good standing. We may improve, change or retire features over time.
Free accounts share a daily usage limit. When it’s reached, coaching on free accounts pauses until the next day; nothing you’ve done is lost.
11. Ending this agreement
You can stop using Spherikal and delete your account at any time from Settings. If you own a team plan that’s still active, cancel it first so it stops charging. We may end or suspend access for a serious or repeated breach of these Terms, or if we stop offering the service. If we stop offering it, we’ll give reasonable notice and refund any prepaid period you haven’t used.
12. Disclaimers and limits of liability
Spherikal is provided “as is”. To the extent the law allows, we disclaim implied warranties, including fitness for a particular purpose. We aren’t liable for indirect or consequential losses. Our total liability for any claim is capped at what you paid us in the 12 months before the claim arose. Nothing in these Terms limits liability that can’t legally be limited.
13. Changes, law and contact
We may update these Terms. If a change is material, we’ll tell you before it takes effect. If you keep using Spherikal after that, you accept the new Terms. These Terms are governed by the laws of the State of Texas.
